1. Acceptance of Terms

These Terms & Conditions ("Terms") form a binding agreement between you ("Customer", "you") and InteliCall, Inc. ("InteliCall", "we", "us") governing your access to and use of the InteliCall website, dashboard, APIs, telephone numbers, and AI call-answering services (collectively, the "Service").

By creating an account, clicking "I agree", or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.

2. The Service

InteliCall provides an AI receptionist that answers inbound calls, books appointments, captures lead information, transfers calls, and sends follow-up text messages on your behalf. Specific features depend on your subscription plan.

We may update, improve, or modify the Service from time to time. Material removals of functionality on your current plan will be communicated at least 30 days in advance.

3. Accounts & Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate, current information and to keep it up to date.

You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately at security@intelicall.ca if you suspect unauthorized access.

4. Plans, Trials & Billing

Free trial. New accounts receive a limited free trial (currently 5 calls or 10 minutes of talk time, whichever comes first). No credit card is required to start a trial.

Subscription fees. Paid plans are billed monthly or annually in advance in Canadian dollars (CAD). Annual plans are non-refundable except as expressly stated. Monthly plans renew automatically until cancelled.

Usage charges. Talk time beyond the minutes included in your plan, plus metered usage such as additional phone numbers, outbound calls, SMS, and number porting, is billed in arrears at the rates published on our pricing page at the time the usage is incurred.

Taxes. Fees are exclusive of applicable taxes (GST, HST, QST, PST, or foreign equivalents), which will be added to your invoice where required.

Late payment. If a charge fails, we may retry the payment method on file, suspend the Service after 7 days past due, and terminate the account after 30 days past due. Past-due balances accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.

5. Cancellation & Refunds

You may cancel at any time from your billing settings. Cancellations take effect at the end of the current billing period; you retain access until then and can export your call records.

Annual plans cancelled within the first 30 days are eligible for a prorated refund of the unused portion. Outside that window, fees already paid are non-refundable. Metered usage already incurred is always non-refundable.

6. Acceptable Use

You agree not to use the Service to:

  • Place or facilitate unsolicited telemarketing, robocalls, or messages that violate the CRTC Unsolicited Telecommunications Rules, CASL, the U.S. TCPA, or equivalent laws in other jurisdictions;
  • Impersonate any person or misrepresent your identity, organization, or affiliation;
  • Engage in fraud, harassment, hate speech, threats, or any unlawful activity;
  • Transmit malware, attempt to probe, scan, or breach the Service, or interfere with other customers' use;
  • Process payment card data, government-issued IDs, or other sensitive data through call transcripts unless explicitly enabled and contractually permitted;
  • Resell, sublicense, or expose the Service to third parties as a standalone product without our written consent.

We may suspend or terminate the Service immediately for violations that pose a security, legal, or reputational risk.

7. Telecommunications & Recording Consent

You are solely responsible for complying with the call-recording, monitoring, and AI-disclosure laws applicable to each call. This includes obtaining all required consents from callers in two-party-consent jurisdictions. We provide configurable disclosure prompts; using them is your responsibility.

Emergency services (e.g. 911) are not supported by the AI agent. You must not represent the Service as a substitute for emergency dispatch.

8. Customer Data & Privacy

"Customer Data" means call recordings, transcripts, caller details, knowledge-base content, and other data you submit to or generate through the Service. You retain all rights in Customer Data. You grant us a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide and improve the Service.

We do not sell Customer Data. Our handling of personal information is described in our Privacy Policy. For HIPAA workflows on eligible plans we offer a Business Associate Agreement on request.

9. Intellectual Property

The Service, including software, voice models, prompts, documentation, and branding, is owned by InteliCall and its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-transferable license to use the Service during your subscription, subject to these Terms. All rights not expressly granted are reserved.

10. Third-Party Services

The Service integrates with third-party platforms (e.g. Stripe, Twilio, Google Calendar, Microsoft 365). Your use of those services is governed by their own terms. We are not responsible for the availability, accuracy, or actions of third-party services.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI RESPONSES WILL BE ACCURATE OR APPROPRIATE FOR ANY SPECIFIC SITUATION. YOU REMAIN RESPONSIBLE FOR REVIEWING AI OUTPUT BEFORE RELYING ON IT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.

EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO INTELICALL FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You will defend, indemnify, and hold harmless InteliCall and its officers, directors, and employees from any third-party claim arising out of (a) your Customer Data, (b) your use of the Service in violation of these Terms or applicable law, or (c) your failure to obtain required consents for call recording or AI disclosure.

14. Suspension & Termination

We may suspend or terminate the Service for material breach, non-payment, or risk to the platform's integrity or other customers. On termination, your right to use the Service ends. You may export Customer Data for 30 days after termination, after which we may delete it in the ordinary course of business.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts located in Toronto, Ontario for any dispute, except either party may seek injunctive relief in any court of competent jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes we will notify you by email or through the dashboard at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
